PAYRATY TERMS OF USE:
Welcome to Payraty
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “Client”) and Payraty Nig Ltd. (“Payraty”, “we”, “us”, or “our”) regarding your access to and use of our cloud-based ERP, Payroll, and enterprise solutions (the “Services”).
Please read these Terms carefully before using our Services. By using our platform, software, APIs, integrations, websites, or mobile applications, you accept and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. ACCEPTANCE OF TERMS
Signing up on the Payraty platform for any of our cloud-based solutions confirms that you are authorized to act on behalf of an organization or entity, and that your organization or entity accepts these Terms.
2. DESCRIPTION OF SERVICES
2.1 Payraty offers a suite of integrated digital solutions that include:
• Payroll Solution
• Human Resource Information System (HRIS)
• Inventory Management Solution
• Performance Management
• Financial Reporting and Expense Management
• Compensation Management
• Learning Management System
• Restaurant Management System
2.2 We reserve the right to modify, enhance, suspend, or discontinue any aspect of the Services at our discretion with prior notice to your organization or entity.
3. USER ACCOUNT AND ACCESS
3.1 To access the Services, you must register for an account by providing accurate and complete information.
3.2 You are responsible for:
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account.
• Informing us immediately of any unauthorized access or breach.
• Ensuring that your account is used in compliance with these Terms and all applicable Laws and Regulations.
3.3 Payraty reserves the right to disable accounts that violate these Terms or compromise platform security.
4. LICENSE AND USAGE RIGHTS
4.1 Subject to these Terms and any signed commercial agreement, Payraty grants you a limited, non-exclusive, non-transferable license to use the Services strictly for internal business operations.
4.2 You shall not:
• Copy, distribute, or modify the Services
• Resell or sublicense access
• Attempt to reverse-engineer, decompile, or tamper with any of our products or their components
• Use the Services in violation of applicable laws or third-party rights
5. FEES AND PAYMENT
5.1 Access to Payraty’s Services is subject to subscription or usage-based fees outlined in your service agreement or invoice.
5.2 Payment must be made within seven (7) days of invoice issuance. Overdue payments may lead to the suspension of the user’s account until outstanding payments are received.
5.3 All fees are exclusive of VAT and applicable taxes.
6. CLIENT DATA AND PRIVACY
6.1 You retain full ownership of your data. By using the Services, you grant us a non-exclusive license to use, process, and store your data solely for service delivery.
6.2 Payraty adheres to the Nigeria Data Protection Regulation (NDPR) 2019. We implement industry-standard safeguards to secure personal and organizational data.
6.3 Your data will never be sold. Limited sharing may occur with authorized third-party service providers under a strict confidentiality agreement.
6.4 Our use of data is further governed by our Privacy Policy.
7. CONFIDENTIALITY
7.1 Both Parties shall treat any information marked or deemed confidential as strictly confidential and shall not disclose it without the other party’s prior written consent.
7.2 Obligations under this clause shall survive termination of the relationship.
8. INTELLECTUAL PROPERTY
8.1 All intellectual property rights in the Payraty platform, designs, source code, logos, trademarks, documentation, and marketing materials remain the sole property of Payraty Nig Ltd.
8.2 Nothing in these Terms shall be construed as a transfer of ownership.
8.3 Any feedback, suggestions, or enhancements provided by users may be used by Payraty without obligation or compensation.
9. ACCEPTABLE USE POLICY
You agree not to:
• Use the Services for illegal, fraudulent, or harmful activities
• Upload or distribute viruses, worms, malware, or other harmful code
• Interfere with the performance or integrity of the Services
• Use the platform to transmit defamatory, harassing, illegal, or unlawful content
Violation may lead to immediate suspension or termination without a refund.
10. SERVICE AVAILABILITY AND MAINTENANCE
10.1 Payraty commits to a commercially reasonable uptime of 99%, excluding scheduled maintenance.
10.2 We may conduct maintenance or updates with advance notice, where possible. Emergency maintenance may be conducted without notice.
11. WARRANTIES AND DISCLAIMERS
11.1 Payraty provides its Services on an “as is” and “as available” basis. We do not guarantee that the Services will be error-free or uninterrupted.
11.2 We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
12. LIMITATION OF LIABILITY
12.1 To the fullest extent permitted by law, Payraty shall not be liable for any indirect, incidental, or consequential damages, including loss of profit, data, or business opportunities.
12.2 Our total liability shall not exceed the fees paid by the user in the last three (3) months preceding the event.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Payraty, its directors, officers, and affiliates from any claims, losses, or damages arising from:
• Your breach of these Terms
• Your use of the Services in violation of applicable laws
• Unauthorized disclosure of data or confidential information
14. TERMINATION
14.1 You may terminate your use of the Services at any time by notifying us with 14 days’ written notice; however, any outstanding fees prior to the termination shall be payable immediately to Payraty, while fees paid prior to the termination shall not be refundable.
14.2 Payraty may suspend or terminate access:
• For non-payment
• For breach of these Terms
• If required by law
14.3 Termination does not relieve either party of accrued obligations or confidentiality duties.
15. FORCE MAJEURE
Payraty shall not be held liable for failure or delay in performance due to circumstances beyond our control, including natural disasters, strikes, government restrictions, pandemics, cyberattacks, or service outages.
16. GOVERNING LAW AND DISPUTE RESOLUTION
16.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
16.2 Parties shall first attempt amicable resolution of disputes.
16.3 If unresolved, disputes shall be submitted to the Lagos Multi-Door Courthouse for arbitration, in accordance with the Arbitration and Conciliation Act Cap A18 LFN 2004, and both parties shall share and bear the cost of the arbitration.
17. AMENDMENTS
We may revise these Terms at any time, but prior notice will be given. (In line with paragraph2.2 above. Updates will be posted on our platform or communicated via email. Continued use constitutes acceptance of revised terms.
18. SEVERABILITY
If any provision is found to be unenforceable, the remainder of the Terms shall remain in full effect.
19. RELATIONSHIP OF PARTIES
Nothing in these Terms creates a partnership, agency, or employment relationship. Each party is an independent contractor.
